SCHEDULE [X] – POWERS AND DUTIES OF THE PROTECTOR
1. Nature of the Protector Role
1.1The Protector shall act solely in a fiduciary oversight capacity.
1.2The Protector shall not be deemed:
- a trustee,
- a co-trustee,
- a shadow trustee,
- an investment manager,
- or a person exercising control over trust assets.
1.3The Protector shall exercise negative control only, through veto or consent rights expressly defined herein.
2. Core Consent Powers (Negative Control Only)
The Trustee must obtain the prior written consent of the Protector before undertaking any of the following actions:
2.1 Trustee Governance
- Appointment or removal of any Trustee
- Appointment or removal of any co-trustee
- Change of trust jurisdiction (migration)
- Amendment of the Trust Deed (other than purely administrative)
2.2 Beneficiary Structure
- Addition or removal of Beneficiaries
- Modification of Beneficial Classes
- Alteration of Beneficiary entitlements or discretionary powers
2.3 Extraordinary Transactions
- Distribution exceeding [X]% of Trust Net Asset Value in any calendar year
- Termination or early vesting of the Trust
- Creation or dissolution of sub-trusts
- Loan forgiveness to any Beneficiary or related party
2.4 Asset Ring-Fencing
- Transfer of assets to high-risk or non-cooperative jurisdictions
- Pledging or encumbering trust assets beyond ordinary-course financing
- Sale of strategic assets exceeding [X]% of NAV
3. Protector Powers of Intervention
3.1The Protector may:
- Require written explanations from the Trustee
- Request independent legal or fiduciary opinions (at Trust expense)
- Suspend trustee actions pending clarification or review
3.2The Protector shall not:
- Direct investments
- Select asset managers
- Instruct banks or custodians
- Interfere in day-to-day administration
4. Emergency Powers (Safeguard Clause)
In circumstances of trustee insolvency, regulatory breach, gross negligence or loss of trustee license, the Protector may:
- Temporarily suspend trustee powers
- Appoint an interim trustee
- Take protective measures strictly limited to asset preservation
Such powers shall lapse automatically upon appointment of a replacement trustee.
5. Independence and Conflict Safeguards
- No familial or economic ties to the Settlor or Beneficiaries
- Fixed, arm’s length remuneration
- No simultaneous role as Trustee, Asset Manager or Banker
6. No Attribution / No Control Clause
The Protector shall not be deemed to exercise effective control for tax, regulatory, reporting or transparency purposes.
7. Standard of Care and Liability
The Protector shall act in good faith and with reasonable care, without being held to a professional trustee standard.
8. Indemnity
The Trust shall indemnify the Protector against all claims except in cases of fraud, willful misconduct or proven bad faith.
9. Succession and Continuity
The Protector may appoint a successor. Resignation requires [X] days’ notice unless immediate resignation is required by law.
10. Governing Law
This Schedule shall be governed by and construed in accordance with the law governing the Trust.
